General Terms and Conditions (GTC) of BlooRidge Consulting GmbH

1. Scope
These General Terms and Conditions (GTC) govern the conclusion, content, and execution of all contractual relationships between the customer and BlooRidge Consulting GmbH (BlooRidge).

2. Conclusion of Contract
BlooRidge prepares an individual offer for each of its services. When the customer accepts this offer orally, in writing, or electronically, a contractual relationship is established between the customer and BlooRidge, which is exclusively based on the offer and these GTC (Agreed Contract). Any general terms and conditions of the customer are not accepted by BlooRidge and do not form part of the contract.

3. Performance by BlooRidge
BlooRidge provides its consulting services with the customary care, in accordance with the instructions of the customer, and involving its own employees or third parties commissioned by BlooRidge. Development or implementation work is outsourced to external partners.

4. Fee and Payment Terms
In return for the consulting services provided, the customer shall pay the agreed fee plus 8.1% VAT. The amount of the fee is defined in the offer and becomes binding upon acceptance. Invoices will be issued exclusively in CHF.

After the initial delivery of consulting results, the customer is entitled to request two rounds of strategic adjustments, which are included in the fee. Any additional requests for changes will be billed at CHF 150.00 per hour plus 8.1% VAT.

All invoices issued by BlooRidge must be paid within 20 calendar days of the invoice date. If the invoice is not paid within the specified payment period, BlooRidge reserves the right to charge the statutory default interest. In the event of a default on partial payments, BlooRidge may suspend its services until the respective payment is made.

5. Cancellation of Orders
If the customer cancels an agreed order, they are required to pay the following flat-rate compensation for BlooRidge’s incurred efforts and preparation costs:
– 30% of the agreed fee if the cancellation occurs less than 7 calendar days before the service is due;
– 50% of the agreed fee if the cancellation occurs less than 3 calendar days before the service is due.

If BlooRidge can prove that its actual damages exceed these flat-rate amounts, the customer will be liable for the excess.

6. Limitation of Liability
BlooRidge is committed to performing its services diligently and faithfully. The customer agrees not to hinder BlooRidge in the fulfillment of its services. Any contractual or non-contractual liability of BlooRidge for its services and work results is fully excluded, except in cases of unlawful intent or gross negligence. Liability for auxiliary persons is excluded in all cases.

7. Intellectual Property and Other Rights
All intellectual property and other protective rights created in the course of fulfilling the agreed contract belong exclusively to BlooRidge. The customer, however, is granted the non-transferable right to use the work results for private and commercial purposes. The sale or transfer of the work results to third parties, whether for payment or free of charge, is only permitted with BlooRidge’s written consent. Alterations of the work results by the customer are explicitly prohibited.

If the customer issues specific instructions, it is their responsibility to ensure that these are lawful and do not infringe on any intellectual property or other rights. Should any claims be made against BlooRidge by third parties due to the customer’s instructions, the customer will fully indemnify BlooRidge for any resulting damages and legal costs.

8. Severability Clause
Should any provision of these GTC be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a new provision shall be adopted that comes as close as possible to the economic and legal effect of the invalid provision.

9. Applicable Law and Jurisdiction
Swiss law shall apply to all contractual relationships between the customer and BlooRidge. The exclusive place of jurisdiction is Zurich, Switzerland.
